Explanatory Note:

On August 27, 2020, ReTo Eco-Solutions, Inc. (the “Company”) issued a press release announcing the completion and local governmental acceptance of the design, engineering, supply and ongoing maintenance for sewage treatment projects it was awarded in Henan province. A copy of the press release is attached hereto as Exhibit 99.1
