Dear Team Members,

I have some exciting news to share with you. A few minutes ago, we publicly announced that we are merging with BMC Stock Holdings, Inc. (NASDAQ: BMCH), a leading diversified materials and solutions provider. The combination will significantly advance the strategic goals of our company and create exciting new opportunities for all of us. We are delighted to welcome the BMC team to Builders FirstSource.

Builders FirstSource and BMC will bring together two outstanding companies to create the nation’s premier supplier of building materials and services. This combination will make us bigger and stronger by increasing the number of customers we serve from an unrivaled network of distribution and manufacturing locations that will touch almost every state in the U.S.

We chose to merge with BMC because of the great cultural fit as well as the long-term customer service opportunities it creates for our combined company. Both companies share a strong performance-based culture focused on innovation, collaboration, integrity, diversity and corporate social responsibility. We each possess a diverse portfolio of value-add offerings, enabling us to more closely partner our current customers and integrate with new customers to streamline the construction process. Additionally, the combination will expand opportunities for career development for our highly-skilled team members. We believe the combined company, which will generate combined annual sales of over $11 billion, will be uniquely positioned for long-term growth.

Earlier this year, you may recall that I announced my intention to retire once the Board and I identified my successor. It was a difficult decision, and it still is, but I am glad to share with you that we found the best person possible lead this company. Around March of next year, BMC’s CEO, Dave Flitman will succeed me as the new CEO of our combined company. Over the past few months I have gotten to know Dave well. He has done a terrific job at BMC by building a high-

performance culture that truly cares about its team members and customers. Paul Levy, our Co-Founder, will continue to serve as Chairman of the combined company. Our corporate culture of accountability and responsibility will help to ensure that Builders FirstSource remains not only an excellent partner to our customers but also a great place to work. I am also pleased to announce that Peter Jackson will remain our CFO, and that Dave Rush will lead the integration efforts, just as he did so successfully with our integration of ProBuild five years ago.

As we build a premier building solutions organization, it is important that everyone remain focused on what you have always done so well – taking care of our customers. To that end, we remain as committed as ever to our team members and the tremendous value they bring to our company. We will leverage the strength of our combined team members to continue to drive growth.

Integration planning is underway, and will be implemented after we close the transaction, which is expected to occur around year end. The combined company will retain the name Builders FirstSource and will be headquartered in Dallas, Texas, while maintaining key functional corporate centers of excellence in both Raleigh, NC and Denver, CO.
