 Item 8.01 Other Events
 
On August 25, 2020, Exterran Corporation (the “Company”) issued a press release announcing that it has signed an agreement to sell its U.S. compression fabrication business to Compass Energy Systems Ltd. The price and terms were not disclosed. The Company expects the transaction to close in the fourth quarter and is subject to customary conditions and purchase price adjustments. A copy of the press release is attached to this Current report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
