Submission of Matters to a Vote of Security Holders.
 
On August 24, 2020, WidePoint Corporation (the “Company”) held a special meeting of its stockholders to vote on the following proposals:
 
Proposal One: To approve an amendment to the Company’s amended and restated certificate of incorporation, as amended (the “Restated Certificate of Incorporation”), to effect a reverse stock split of the Company’s issued and outstanding shares of common stock, $0.001 par value per share, at a ratio to be determined in the discretion of the Board of Directors within a range of one (1) share of common stock for every five (5) to fifteen (15) shares of common stock (the “Reverse Stock Split”), such amendment to be effected after stockholder approval thereof only in the event the Board of Directors still deems it advisable. In accordance with the voting results listed below, the proposal was approved.

Proposal Two: To approve an amendment to the Restated Certificate of Incorporation, to decrease the number of authorized shares of common stock to 30,000,000 (the “Authorized Common Stock Decrease”), such amendment contingent upon the Reverse Stock Split being approved and effected.
