Item 8.01 – Other Events.

On August 21, 2020, Sesen Bio, Inc. (the “Company”) received notice from Listing Qualifications Department (the “Staff”) of the Nasdaq Stock Market confirming that for the last 10 consecutive business days, the closing bid price of the Company’s common stock has been equal to or in excess of the $1.00 per share minimum bid price requirement for continued listing, as set forth in Nasdaq Listing Rule 5450(a)(1). Accordingly, the Staff has determined that the Company has regained compliance with Nasdaq Listing Rule 5450(a)(1) and it has indicated to the Company that this matter is now closed. Further, it is management’s belief that effecting a reverse stock split would not be in the best interest of the Company’s shareholders at this time.

On August 21, 2020, Sesen Bio, Inc.
