Item 5.03Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On August 13, 2020, the Board of Directors of CPI Aerostructures, Inc. (the “Company”) amended and restated the Company’s bylaws (“Amended Bylaws”) to create a new position of non-executive Vice Chairperson of the Board of Directors, clarify that notices of shareholder meetings must include notice of the means of electronic communication by which shareholders may participate in the meeting and vote or grant proxies, if applicable, and to revise all pronouns to be gender-neutral.

 

The Amended Bylaws are attached hereto as Exhibit 3.1 and are incorporated by reference herein. The foregoing summary of the Amended Bylaws is qualified in its entirety by reference to the full text of the Amended Bylaws.
