Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 13, 2020, Alice G. Givens, the SVP – General Counsel, Chief Compliance Officer and Secretary of Ruth’s Hospitality Group, Inc. (the “Company”), provided notice that she will depart the Company effective September 18, 2020.
