EXPLANATORY NOTE

On August 11, 2020, Wix.com Ltd. (NASDAQ:WIX) (the “Company”) issued a press release announcing the pricing of $500 million principal amount of 0% convertible senior notes in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the press release is attached as Exhibit 99.1 to this Report on Form 6-K.
