Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 5, 2020, Tivity Health, Inc. (the “Company”) entered into a Separation Agreement and General Release (the “Separation Agreement”) with Steve Janicak, Division President, Healthcare, which provides that Mr. Janicak’s employment with the Company will end as of August 31, 2020. The Separation Agreement also provides that Mr. Janicak will receive those separation payments and benefits that he is entitled to receive under his offer of employment letter in respect of a termination without cause, which agreement has previously been disclosed.
