Item 8.01. Other Events.

 

Hercules Capital, Inc. (“Hercules”) has received no-action relief from the Staff of the Division of Investment Management of the Securities and Exchange Commission (the “No-Action Letter”) to form a wholly-owned subsidiary (the “Adviser Sub”) that would operate as a registered investment adviser, subject to the conditions set forth in the No Action Letter.

 

Hercules has formed the Adviser Sub as a wholly-owned subsidiary of Hercules.  The Adviser Sub may become the investment adviser or sub-adviser with respect to certain funds or accounts in the future, provided that no assurances can be given as to the extent of such activity, when it will commence or what fees the Adviser Sub may receive in that regard.
