Item 5.07. Submission of Matters to a Vote of Security Holders.
On July 28, 2020, Novan, Inc. (the “Company”) held its 2020 Annual Meeting of Stockholders (the “Annual Meeting”). Set forth below is a brief description of each matter considered and voted upon at the Annual Meeting, together with the final tally of the number of votes cast for, against or withheld, as well as the number of abstentions and broker non-votes. A more complete description of each matter is set forth in the Company’s definitive proxy statement for the Annual Meeting filed with the Securities and Exchange Commission on June 18, 2020.
Proposal 1:  Election of Directors
The stockholders elected each of the Class I directors who were nominated for a three-year term expiring at the Company’s 2023 Annual Meeting of Stockholders and until such director’s successor is elected and qualified, or until his or her earlier death, resignation or removal. Proposal 2:  Approval of Amendment to Restated Certificate of Incorporation of Novan, Inc.
The proposal to approve the amendment of the Company’s Restated Certificate of Incorporation to effect a reverse stock split of the Company’s common stock at a ratio of not less than one-for-two and not more than one-for-fifteen, with such ratio and the implementation and timing of such reverse stock split to be determined by the Company’s board of directors in its sole discretion, was approved.
