ITEM 5.02(c). Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On July 14, 2020, David A. Lemoine notified the Board of Directors (the “Board”) of The L. S. Starrett Company (the “Company”) that he will resign from the Board effective October 14, 2020. The decision to resign was not a result of any disagreement with other Board members or with management. Mr. Lemoine will continue to serve on the Board until October 14, 2020, to ensure a smooth transition with Scott W. Sproule, who will succeed Mr. Lemoine as Audit Committee Chairman.
