Item 8.01. Other Events.

Pricing of Notes Offering

On June 24, 2020, Minerals Technologies Inc. (the “Company”) issued a press release announcing the pricing of the previously announced private offering of $400 million aggregate principal amount of its 5.000% senior notes due 2028 (the “Notes”) in a transaction exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”), a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The offering is expected to close on June 30, 2020, subject to customary closing conditions.

The Notes and the related guarantees have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.

Minerals Technologies Announces Pricing of Private Offering of $400 Million of Senior Notes

NEW YORK – Minerals Technologies Inc. (NYSE: MTX) (“MTI” or “the Company”) today announced the pricing of the previously announced private offering (the “Offering”) of $400 million aggregate principal amount of its 5.000% senior notes due 2028 (the “Notes”). The initial offering price to investors will be 100.000% of the principal amount thereof. The Notes will be guaranteed by the Company’s wholly owned domestic restricted subsidiaries that are borrowers under or that guarantee its senior secured credit facilities or that guarantee certain other indebtedness. The offering is expected to close on June 30, 2020, subject to customary closing conditions.

MTI intends to use the net proceeds of the Offering (i) to repay all of its outstanding fixed rate term loans, (ii) to repay all of its outstanding borrowings under its revolving credit facility and (iii) the remainder for general corporate purposes.

The Notes and the guarantees thereof are being offered in a private offering exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). The Notes and the guarantees thereof are being offered only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act and to non-U.S. persons outside the United States in reliance on Regulation S under the Securities Act.
