Submission of Matters to a Vote of Security Holders
On May 7, 2020, Gladstone Commercial Corporation (the Company) held its 2020 Annual Meeting of Stockholders (the Annual Meeting). The Companys stockholders voted on and approved each of the proposals presented at the Annual Meeting, which are described in detail in the Companys Definitive Proxy Statement on Schedule 14A, which was filed with the Securities and Exchange Commission on March 23, 2020.
Proposal 1: The election of two directors to hold office until the 2023 Annual Meeting of Stockholders and until their respective successors are duly elected and qualify.

Proposal 2: To ratify the selection by the Audit Committee of the Companys board of directors of PricewaterhouseCoopers LLP as the Companys independent registered public accounting firm for its fiscal year ending December 31, 2020.
