Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant

 

On May 4, 2020, the Company executed a promissory note dated April 20, 2020 (“SBA Note”) in the amount of $862,000 with Enterprise Bank and Trust under the recently enacted Coronavirus Aid, Relief, and Economic Security Act (“CARES Act”) administered by the U.S. Small Business Administration. The Company executed the SBA Note on May 4, 2020 and received total proceeds of $862,000 under the SBA Note on that date. In accordance with the requirements of the CARES Act, the Company will use proceeds from the SBA Note primarily for payroll costs. The SBA Note is scheduled to mature on April 20, 2022 and has a 1.00% interest rate and is subject to the terms and conditions applicable to loans administered by the U.S. Small Business Administration under the CARES Act.
