(e) At the request of the officers involved in light of the COVID-19 pandemic, the Compensation Committee of the Board of Directors of Douglas Emmett, Inc. in a written consent dated April 30, 2020, approved a 20% reduction (to an annual rate of $800,000 from and after May 1, 2020) in the base salaries of the Company's Chief Executive Officer Jordan Kaplan and Chief Operating Officer Kenneth Panzer.
