Paul D. Ginsberg is associated with Roark Capital Management, LLC ("Roark") and its affiliated investment entities, including RC Cake Holdings LLC ("RC Cake"), which holds shares of Series A Convertible Preferred Stock, par value $0.01 (the "Preferred Stock"), of The Cheesecake Factory Incorporated (the "Issuer"), and as such Roark may be deemed to beneficially own the shares of Preferred Stock of the Issuer held by RC Cake. This report does not include any securities of the Issuer held by RC Cake, or that may be deemed to be beneficially owned by Roark or any other investment entities affiliated with Roark, and Mr. Ginsberg disclaims beneficial ownership of all such securities.
