Item 5.07 Submission of Matters to a Vote of Security Holders.

 

On March 2, 2020, Bat Group, Inc. (the “Company”) held its 2020 annual meeting of stockholders (the “Annual Meeting”). The number of shares of common stock entitled to vote at the Annual Meeting was 13,585,806 shares. The number of shares of common stock present or represented by valid proxy at the Annual Meeting was 10,053,271 shares. At the Annual Meeting, the following proposals were voted on:

 

1.That the following constitutes the number of votes voted with respect to the following persons as Directors of Bat Group, Inc.

2.That the following constitutes the number of shares voted with respect to the ratification of Friedman LLP serve as the independent registered public accounting firm of the Company for the fiscal year ended December 31, 2020.

Accordingly, Friedman LLP has been ratified to serve as the independent registered public accounting firm of the Company for the fiscal year ended December 31, 2020.

 

3.To approve, for purposes of complying with applicable NASDAQ Listing Rules, the issuance of 15,000,000 shares of common stock (“Common Stock”), par value $0.001 per share in connection with the private placement of shares of Common Stock to certain non-U.S. investors pursuant to certain Securities Purchase Agreements dated January 22, 2020 (the “SPAs”).

Accordingly, the issuance of Common Stock pursuant to certain SPAs has been authorized and approved.

 

 

4.To approve the issuance of shares of Common Stock issuable upon the conversion of certain convertible notes and exercise of certain warrants pursuant to certain Securities Purchase Agreement dated January 22, 2020 (the “Note Offering SPA”)
